Job Description

The Legal Manager – Advisory and Board Affairs will play a critical role in providing comprehensive legal advisory services to Pride Microfinance Limited (MDI) and ensuring the smooth functioning of the Board of Directors. The incumbent will act as a strategic advisor, ensuring compliance with all legal and regulatory frameworks, while also delivering administrative and technical support to the Board. This position is essential in supporting decision-making processes that drive the organization’s strategic goals.

Key Responsibilities:

1. Legal Advisory Services:
• Provide accurate, timely, and business-oriented legal advice to management and staff on a range of corporate matters, including compliance, contracts, and dispute resolution.
• Draft, review, and negotiate contracts, agreements, and other legal documents to safeguard Pride’s interests.

• Keep the organization updated on changes in laws, regulations, and policies that may impact operations.

• Represent Pride in legal matters, including liaising with external counsel and attending court proceedings as required.

2. Compliance and Risk Management:
• Ensure Pride adheres to all applicable laws, regulations, and corporate governance standards.
• Monitor legal risks and implement strategies to mitigate potential exposure.
• Support the development of internal policies and procedures to strengthen regulatory compliance.

3. Support to the Board of Directors:
• Serve as the primary liaison between the legal department and the Board of Directors.
• Provide administrative and technical support to Board meetings, including preparing agendas, minutes, and briefing materials.
• Ensure that Board decisions and resolutions comply with legal and regulatory requirements.
• Support the induction and training of Board members on governance matters.

4. Corporate Governance and Ethics:
• Promote good corporate governance practices within the organization.
• Ensure proper documentation and safekeeping of all Board records and legal documents.
• Advise the Board on matters related to governance, ethics, and conflict of interest.

5. Organizational Support:
• Collaborate with other departments to provide legal guidance on projects, contracts, and operational decisions.

Qualifications and Experience:
1. Education:
• Bachelor’s degree in Law (LLB) from a recognized institution.
• Postgraduate Diploma in Legal Practice.
• Membership with the Uganda Law Society and an active practicing certificate.

2. Experience:
• At least 5 years of relevant experience in legal advisory, corporate governance, or compliance.
• Experience working with financial institutions or microfinance organizations is an added advantage.

3. Key Competencies:
• In-depth understanding of legal and regulatory frameworks governing financial institutions in Uganda.
• Strong knowledge of corporate governance principles and best practices.
• Excellent drafting, negotiation, and analytical skills.
• Exceptional organizational and multitasking abilities, with attention to detail.
• Effective communication and interpersonal skills, capable of engaging with senior stakeholders and Board members.
